Terms of sale

processCentric reserves the right to amend or adapt these terms of sale at any time. The version valid on the day of the order is available at www.processcentric.ch/terms/.

 

1. Overview

processCentric GmbH (hereinafter referred to as "processCentric") offers contact training (face-to-face, virtual), online training (hereinafter referred to as "eLearning" and also online exam simulations for training purposes) and hybrid training (hereinafter referred to as "blended"), which combine contact training and eLearning. processCentric also carries out consulting assignments, individual and team coaching and accompaniment of companies.

2. Objective

These terms of sale (hereinafter referred to as "TS") apply to the eLearning and blended training services offered by processCentric on its learning platform.

The fact that the customer places an order presupposes the complete and unconditional acceptance of these TS by the customer.

3. Provisions applicable to training services

3.1 Prices

Unless otherwise stated, all prices are quoted in Swiss francs (CHF) or euros (EUR) inclusive of all taxes. They therefore include the amount of Swiss VAT at the current rate and other applicable taxes, unless otherwise stated.

processCentric reserves the right to change or adjust its rates at any time without prior notice. The rates quoted in an offer remain valid until the due date, as do the rates charged on an invoice, as long as the payment deadlines are met.

3.2 Limitations of liability of processCentric

Under no circumstances can processCentric be held liable for the application of the skills taught during the training.

In no event shall processCentric be liable for indirect damages such as operating losses, customer losses, business losses, loss of profit, loss of savings, damage to image and reputation, moral damages during or after a coaching session, moral damages due to counseling, departure of an employee, etc.  Change in the behavior of an employee.

In addition, due to the nature of the services, processCentric only undertakes on the basis of an obligation of means to the exclusion of any obligation of result.

3.3 Force majeure

processCentric is not responsible for the non-performance of a service due to events of force majeure as recognized by case law, but also not in the event of illness or accident of the main speaker of a blended learning training course.

3.4 Intellectual property

processCentric is the sole owner of the intellectual property rights of the training courses and exam simulations it offers to its customers. All content and materials, regardless of their form (paper, digital, oral, etc.), used by processCentric in the context of its training courses remain the sole property of processCentric. They may not be used, converted, reproduced or exploited in any way without written agreement with processCentric. In particular, subject to a contractual agreement, the Customer shall not be permitted to use the content of the training courses to train persons other than those duly registered for the corresponding processCentric training course. Any complete or partial reproduction, representation, modification, publication, transmission, falsification of the content offered by processCentric is strictly prohibited, regardless of the methods and media used.

3.5 Communication

The Customer agrees to be quoted by processCentric in its verbal or written promotional communication as well as in the non-exhaustive description of the service provided by the Customer, whether on the reference list of processCentric customers, on commercial proposals, on the www.processcentric.ch website, on social platforms or at presentations and conferences.

3.6 Protection of private data

By registering for a training course, the participant agrees to the data protection regulations.

3.7 Jurisdiction and applicable law

All legal relationships with processCentric shall be governed exclusively by Swiss law. The place of jurisdiction is Liestal (Switzerland).

4. eLearning and Blended Training

4.1 Description

eLearning and blended training courses can only be booked on the learning.processcentric.eu website. Blended training courses include access to the eLearning module on a stand-alone basis as well as virtual training courses offered on specific dates.

4.2 Financial conditions

The eLearning or blended training is paid for when purchased online at learning.processcentric.eu.

4.3 Materials handed out to the participant

The participant has access to the training module (course content, exercises/solutions, video clips, case studies, exam simulations, etc.) on the learning platform and also has the option of downloading digital resources. Course material in digital form is included in the blended training.

4.4 Exchange, cancellation or postponement at the initiative of the customer

An eLearning that is not used within 14 working days can be returned and refunded or exchanged. "Unused" means that the participant has not accessed the eLearning after purchase. Exchange means that the registration for an eLearning in one language can be transferred to the same eLearning in another language. A refund will be made after deduction of the fees associated with payment by credit card.

Cancellation of participation in the blended training is generally carried out according to the following procedure:

  • Cancellation at least 14 working days before the training: refund of the price difference between the hybrid training and the same e-learning training.
  • Cancellation or postponement between 14 working days and 48 hours before the training: refund of 50% of the price difference between the blended training and the same e-learning training.
  • Cancellation less than 48 hours before the training: no refund.

The postponement of a blended training course at the initiative of the sponsor to one of the other dates offered by processCentric for the same hybrid training course is conditional and is subject to the following modalities:

  • Postponement at least 14 working days before the 1st training day: free of charge.
  • Postponement less than 14 working days before the 1st training day: compensation allowance of 25% of the total cost of the training.

4.5 Cancellation or postponement on the initiative of processCentric

processCentric reserves the right to cancel a training session in the event of force majeure. In this case, processCentric will replace the canceled session free of charge.

In exceptional cases, processCentric may request a postponement of the virtual training.
